Job Description

The Associate General Counsel for Intellectual Property and Business Transactions will provide advice to Syracuse University’s 13 academic units and its Centers for Research and Scholarship on matters concerning intellectual property and business transactions under the direction of Senior Vice President/General Counsel. The position will be part of a growing legal team that provides legal advice and support for the University and its affiliated entities.

Qualifications

• Bachelor’s degree required.
• Juris Doctorate (JD) required from ABA accredited law school.
• Prefer five plus (5+) years of intellectual property and business transactional and contractual legal experience. Law firm, corporate, academic institution, or related experience preferred.
• Licensed to practice law in New York or eligible for admission within twelve (12) months.
• Licensed in good standing without any instances of suspension, revocation, censure or other adverse events in any jurisdiction.

• Superior legal negotiating, drafting, and presentation skills.
• Organized self-starter with strong work ethic and a “can do” attitude; a quick study with ability to manage deadlines.
• High moral and ethical standards that reflect honesty, integrity and reliability.
• Must be detail oriented and deadline-driven.
• Excellent written and oral communication skills; ability to understand and convey complex legal principles in readily understandable terms to senior administrators and faculty.
• Capable of preparing/reviewing/editing legal memos, filings, pleadings, and other documents.
• Proficiency in conducting legal research using LEXIS/NEXIS, Westlaw, or other online research tools.
• Able to work in team-oriented collaborative manner.

Responsibilities

• Work as part of a collaborative, professional team focused on delivering high-level legal advice to a very sophisticated client base in higher education.
• Serve as a trusted legal advisor to the General Counsel, other members of the senior administration, and key faculty and staff positions.
• Proactively identify legal risk to the University and offer creative and effective solutions to mitigate such risks and to protect the organization from undue legal exposure, liability, and financial loss.
• Rely on experience and judgment to provide sound and practical legal advice on higher ed issues that supports and is consistent with the strategic and operational objectives of Syracuse University.
• Manage and advise the University relating to IP:
• Provide internal advice on IP matters.
• Manage IP license agreements.
• Review and develop IP policies.
• Provide advice to technology transfer office.
• Serve as liaison for outside counsel on IP matters.
• Draft complex non-IP business and vendor agreements.
